Medi Lifestyle plans to take a majority stake of 60% in EM2AI, which is now a subsidiary of Q & M Dental Group (Singapore)
Under terms of a non-binding term sheet, the $6.76 mil deal will be paid by issuing 138 million shares to Q&M at 4.9 cents per share
Upon completion, Q&M will be Medi Lifestyle’s second-largest shareholder
As indicated in its most recent FY2025 annual report, Medi Lifestyle’s single largest shareholder is an entity called Lingholm Holdings, which holds around 236.8 million shares, equivalent to a stake of 62.62%
EM2AI is described as an entity focused on AI-based tools for dental diagnostics and treatment planning
The technology is deployed to analyse dental X-rays, automating dental charting and generating structured information for dentists to review when planning treatment

“We see an opportunity to combine EM2AI’s dental and engineering capabilities with Medi Lifestyle’s capital base, operating support and regional ambitions,” says Medi Lifestyle’s CEO Tan Lee Seng
As described in its annual report, Medi Lifestyle now runs a chiropractic and physiotherapy centre at Petaling Jaya and it is also in the business of distributing cell-therapy products and advanced cell-derived beauty solutions in Malaysia

Under terms of the deal, there will be a profit-target mechanism set at not less than $1 mil for FY2027 and $1.5 mil for FY2028 and further raised to $2.5 million for FY2029
In addition, Medi Lifestyle has committed to raising at least $30 million in new capital within two years following completion of the deal to fund EM2AI’s subsequent business activities, including growth in Singapore and Southeast Asia
Medi Lifestyle shares last traded at 5.4 cents. It is up 440% year to date
