    BioMarin Pharmaceutical Inc. (NASDAQ:BMRN) is expanding its rare-disease business with the acquisition of Alesta Therapeutics for $275 million upfront. The deal gives BioMarin access to ALE1, an oral treatment being developed for hypophosphatasia (HPP), a rare genetic bone disorder

    ALE1 is still in early-stage clinical trials, so there is a long way to go before it could reach the market. But if the drug delivers positive results, it could become the first oral treatment for HPP. BioMarin could also pay Alesta up to another $215 million if ALE1 reaches certain development and commercial milestones

    The deal fits closely with BioMarin’s existing focus on rare skeletal diseases, which includes its established Voxzogo drug. It also continues the company’s push to grow through acquisitions, following its $4.8 billion deal for Amicus Therapeutics

    Bull Case

    ALE1 could give BioMarin Pharmaceutical Inc. (NASDAQ:BMRN) a meaningful new growth opportunity if its clinical trials go well. HPP is a rare condition with limited treatment options, and an effective oral therapy could be appealing to both patients and doctors. BioMarin is also not entering this market from scratch. The company already has experience developing and selling treatments for rare skeletal disorders. That expertise could make it easier to move ALE1 through development and, if approved, bring it to patients around the world.

    The deal structure also works in BioMarin Pharmaceutical Inc. (NASDAQ:BMRN)’s favor. The company is paying $275 million upfront, while the additional $215 million depends on ALE1 reaching specific milestones. That means BioMarin is not taking on the full financial commitment before the drug proves its potential

    More broadly, the acquisition shows that BioMarin is continuing to look for new products that can support growth beyond its current portfolio

    Bear Case

    The main risk is simple: ALE1 is still an early-stage drug. Promising results at this point do not guarantee success in larger clinical trials. If the drug fails to show strong safety or effectiveness, BioMarin could end up with a much less valuable asset than expected

    The actual commercial opportunity may also be smaller than the number of diagnosed HPP patients suggests. More than 9,000 people have been diagnosed with HPP in the U.S., but not all of them would necessarily be candidates for ALE1. Adoption will depend on the drug’s results, pricing, and how doctors view it compared with other treatment options
